Terms of Service

1. Overview and Acceptance

These Terms govern your access to and use of the Service, including content, software, features, and data made available by PromptVaults. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

2. Changes to the Service or Terms

We may update the Service and these Terms at any time. Material changes will be posted at /terms. Continued use after changes becomes effective constitutes acceptance of the revised Terms.

3. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may use the Service only with consent and supervision of a parent or legal guardian. You may not use the Service if you are barred under applicable law or if we have previously suspended or terminated your account.

4. Accounts and Security

• You are responsible for the accuracy of your account information and for all activity under your account.
• Safeguard your credentials and notify us immediately of any unauthorized use or security incident at hello@promptvaults.net.
• We may suspend or terminate access for suspected misuse, security risks, or violations of these Terms.

5. Plans, Payments, and Refunds

• We may offer free, trial, and paid plans for certain tools and datasets. Pricing and features are described at the point of purchase or within the product interface.
• By submitting a payment method, you authorize us (and our payment processors) to charge the fees due for your plan and any applicable taxes.
• Subscriptions renew automatically at the then-current rate unless you cancel before the renewal date in your account settings or by contacting support.
• Refunds: Except where required by law, all fees are non-refundable. Trials convert to paid plans unless canceled before the trial ends.

6. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes:

• Violating laws or infringing intellectual property or privacy rights.
• Uploading or distributing malware, malicious code, or attempting to gain unauthorized access.
• Scraping or harvesting data except as expressly permitted under these Terms or a documented API agreement.
• Interfering with normal operation, imposing unreasonable load, or circumventing rate limits or access controls.
• Posting unlawful, obscene, defamatory, deceptive, or harmful content.
• Using the Service to develop or train models that violate others’ rights or applicable law.

7. Your Content and License to PromptVaults

“User Content” means prompts, text, files, data, images, feedback, or other material you submit. You retain your ownership rights in User Content, subject to the license below.

• You grant PromptVaults a worldwide, non-exclusive, royalty-free license to host, cache, process, reproduce, display, and create derivative works of User Content solely to provide, maintain, secure, and improve the Service.
• You represent that you have all rights necessary to grant this license, and that your User Content does not violate law or third-party rights.
• We may remove or disable access to User Content that we reasonably believe violates these Terms or the law.

8. AI Outputs and Reliance

• Unless otherwise stated in a paid plan, we grant you a non-exclusive license to use outputs for your purposes, subject to these Terms and third-party rights.
• You must not represent AI outputs as professional advice (legal, medical, financial, or otherwise) or as error-free facts.

9. Intellectual Property

The Service, including software, design, text, graphics, datasets, and trademarks, is owned by PromptVaults or its licensors and is protected by law. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service.

10. Datasets, APIs, and Crawling

• Public machine-readable files (e.g., items listed in /ai-json/index.json) may be fetched and cached for indexing and search with visible attribution to the source URL. Any other use, including model training or commercial redistribution, requires our prior written consent.
• Automated access must respect /robots.txt and published rate limits. Abusive or disruptive crawling is prohibited.
• API endpoints (including manifests) may enforce authentication, quotas, or rate limits and can change or be discontinued at any time.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information.

12. Third-Party Services

The Service may link to or integrate third-party services. We do not control third-party content or policies and are not responsible for them. Your use of third-party services is governed by their terms.

13. Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the feedback without restriction or obligation to you.

14. Suspension and Termination

We may suspend or terminate your access to the Service at any time with or without notice if we believe you have violated these Terms, create risk or possible legal exposure for us, or if we discontinue the Service. You may stop using the Service at any time.

15. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, secure, or error-free. We do not warrant the accuracy or reliability of any content or output.

16. Limitation of Liability

To the fullest extent permitted by law, PromptVaults and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid to us for the Service in the 3 months before the claim arose or (b) USD $100.

17. Indemnification

You agree to defend, indemnify, and hold harmless PromptVaults and its affiliates, officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

18. Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice containing the information required by 17 U.S.C. §512(c)(3) to our designated agent:

We may remove or disable access to allegedly infringing material and terminate repeat infringers where appropriate.

19. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict of laws principles. You and PromptVaults agree to the exclusive jurisdiction and venue of the state and federal courts located in Washtenaw County, Michigan, for any dispute not subject to arbitration (if applicable under local law).

20. Export and Sanctions

You must comply with all applicable export control and sanctions laws. You may not use the Service if you are located in, under the control of, or a national or resident of any embargoed country or on any restricted party list.

21. Miscellaneous

• Entire Agreement: These Terms are the entire agreement between you and PromptVaults regarding the Service and supersede all prior agreements.
• Severability: If any provision is unenforceable, the remainder remains in effect.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction.
• No Waiver: Failure to enforce a provision is not a waiver.
• Notices: We may send notices to the email associated with your account or by posting to the Service. You may send legal notices to hello@promptvaults.net.
